Teqpace Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Teqpace Services Ltd. (“Teqpace”, “we”, “us”, “our”) governing your access to and use of our websites, games, applications, downloads, and services (each a “Product”, together the “Services”).

By downloading, installing, accessing, purchasing, or using any Product, you agree to these Terms. If you do not agree, do not use the Services. If you are using a Product on behalf of an organisation, you represent that you are authorised to bind that organisation.

Certain enterprise and regulated Products — including our banking, agency-banking, payment-terminal, escrow, invoicing, payments-switching, and business-messaging platforms (Teq-CBA, teqTMS, TeqPOS, Karego, teq-invoice, Isopace, qwicmail) — are provided under separate written agreements. Where such an agreement exists for a Product, it controls for that Product and these Terms apply only to the extent not inconsistent with it.

1. Definitions

  • “Product” — any Teqpace game, application, website, download, SDK, or service, including those listed in Schedule A.
  • “Content” — software, games, text, graphics, audio, and other materials we make available in a Product.
  • “Your Content” — material you create, upload, or store using a Product that supports it.
  • “Merchant of Record” or “MoR” — the entity that is the seller of record for a transaction, responsible for billing, tax collection, and payment processing (for many paid Products this is Paddle).
  • “Store” — a third-party distribution platform such as the Apple App Store or Google Play.

2. The Services

The Services comprise multiple Products, each with its own features and, where applicable, its own commercial model (free, freemium, one-time purchase, or subscription) — see Schedule A. We may add, change, suspend, or discontinue Products or features at any time, and will use reasonable efforts to give notice of material changes that adversely affect a paid Product you use.

Some Products are provided as installed software that runs on your own device (for example our games, biblely Live, Media Server Pro, and qlina); some are online services (for example teqpace.com, Gist Dey, and Teqpace Academy). The nature of each Product is described in Schedule A.

3. Eligibility and accounts

  • Age. Products that are not directed to children are intended for users aged 16 or older (or the age of digital consent in your country). By using such a Product you confirm you meet that requirement.
  • Children’s and family games. Alora and the Lost Toys and Bible Game Pack are directed to, or appeal to, children. A parent or legal guardian is responsible for supervising a child’s use, for any purchases, and for the parental-gate steps described in §7.
  • Accounts. Some Products require an account. You must provide accurate information, keep your credentials secure, and are responsible for activity under your account. Notify us promptly of any unauthorised use at hello@teqpace.com.

4. Licence to use the Products

Subject to these Terms and your payment of any applicable fees, Teqpace grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use each Product for your own lawful, non-commercial use (or, for Products offered for business use, for your internal business use as permitted by the applicable Product terms).

You may not, except as permitted by law or by a specific Product’s licence:

  • copy, resell, rent, lease, sublicense, or commercially distribute a Product;
  • reverse-engineer, decompile, or disassemble a Product, or attempt to extract source code, assets, or keys;
  • circumvent, disable, or tamper with licensing, entitlement, parental-gate, security, or content-gating mechanisms;
  • remove or alter proprietary notices; or
  • use a Product to build a competing product or to train machine-learning models on our Content without our written permission.

Products distributed through a Store are also licensed under that Store’s end-user licence terms; where those differ, the Store terms govern the Store’s relationship with you.

Some Products include third-party or open-source components licensed under their own terms, which continue to apply to those components.

5. Purchases, pricing, and Merchant of Record

  • Prices are shown at the point of purchase and may change; changes do not affect purchases already made. Prices may exclude taxes, which are added where required.
  • Merchant of Record. Paddle (Paddle.com Market Ltd. and its affiliates) is our authorised reseller and Merchant of Record for Teqpace product sales, including one-time purchases and subscriptions. When you buy through Paddle, your purchase contract for that transaction is with Paddle, Paddle handles billing, payment, and applicable taxes, and Paddle’s Buyer Terms and Privacy Policy apply to the transaction in addition to these Terms. Teqpace remains responsible for providing the Product itself and for support.
  • App-store in-app purchases. Where one of our apps is distributed through the Apple App Store or Google Play, purchases made inside that app are processed by that Store under its terms, because those platforms require their own in-app billing. That is the only channel other than Paddle we use for consumer sales.
  • Payment data. We do not collect or store your full card number, CVV, or bank PIN — see the Privacy Policy.
  • Authorisation. You confirm you are authorised to use the payment method you provide.

6. Subscriptions, renewals, and cancellations

Where a Product is offered on a subscription basis (for example Teqpace Academy):

  • The subscription renews automatically for successive periods at the then-current price until cancelled.
  • You may cancel at any time before the next renewal, effective at the end of the current billing period; unless a non-cancellable term or applicable law provides otherwise, you retain access until then.
  • Subscriptions are billed through Paddle as Merchant of Record; you can manage or cancel your subscription from the account or billing-management link Paddle provides on your receipt, or by contacting us at hello@teqpace.com. Where you instead subscribed through an app store, manage and cancel it in that store’s account settings.
  • We will give reasonable advance notice of price changes to a subscription and, where required, obtain your consent before they take effect.

7. In-app purchases, parental gate, and children’s games

  • In-app purchases and downloadable content in our games are, where offered, one-time unlocks and cosmetic items. Our games do not use loot boxes, gacha, randomised paid rewards, energy or wait timers, or “pay-to-continue” mechanics.
  • In children’s and family games (Alora and the Lost Toys, Bible Game Pack), every purchase, purchase restoration, and external link is placed behind a parental gate intended to confirm that an adult is present before the action proceeds. Parents and guardians are responsible for enabling device-level parental controls and for purchases made from their device or account.
  • Entitlements (such as a one-time full-game unlock) are tied to your Store account or licence and can be restored on your devices as permitted by the Store or by us.

8. Refunds

  • Store purchases (Apple App Store, Google Play) are subject to that Store’s refund policy, and refund requests for those purchases must be made through the Store.
  • Paddle (Merchant of Record) purchases are subject to Paddle’s buyer terms and our Refund Policy. As a general baseline, we offer a 14-day refund on paid downloadable Products that have not performed as described, except where prohibited or where the item is a consumable already delivered.
  • Statutory consumer rights (including any mandatory cooling-off or withdrawal rights) are not affected by this section.

9. AI features and bring-your-own-key (BYOK)

Some Products include optional AI features.

  • BYOK Products (such as biblely Live): you supply your own third-party AI provider key, and your prompts and content are sent from your device directly to that provider under that provider’s terms. You are responsible for your use of that provider and for any fees they charge.
  • Teqpace-operated AI (such as in Teqpace Academy): the AI feature processes the text you submit to generate a response. AI output may be inaccurate or incomplete and must not be relied on as professional, legal, medical, financial, or theological advice. You are responsible for reviewing AI output before relying on it.
  • You must not use AI features to generate unlawful, infringing, harmful, or abusive content, or to attempt to extract another party’s confidential data.

10. Your Content

Where a Product lets you create, upload, or store Your Content (for example, projects in Teqpace Academy or local data in biblely Live):

  • You keep ownership of Your Content.
  • You grant Teqpace a limited licence to host, process, and display Your Content only as needed to operate the Product and provide it to you (and, for local-only Products, we may never receive Your Content at all).
  • You are responsible for Your Content and for having the rights to use it. You must not upload content that is unlawful, infringing, or that you lack permission to use.
  • We may remove content that violates these Terms or the law.

11. Acceptable use

You agree not to:

  • use the Services in violation of any law or third-party right;
  • interfere with, disrupt, overload, or attempt to gain unauthorised access to the Services or their infrastructure;
  • probe, scan, or test the vulnerability of the Services except under a written authorisation or a published security-testing policy;
  • use the Services to distribute malware or to send spam or unlawful communications;
  • misrepresent your identity or affiliation; or
  • use the Services in a way that harms minors.

We may suspend or terminate access for violations, and cooperate with lawful investigations.

12. Intellectual property

The Services, including all Content, software, game assets, characters, artwork, audio, trademarks, and the “Teqpace” name and logos, are owned by Teqpace Services Ltd. or its licensors and are protected by intellectual-property laws. Except for the limited licence in §4, no rights are granted to you. All rights not expressly granted are reserved. Feedback you provide may be used by us without obligation to you.

13. Third-party services and Stores

The Services may rely on or interoperate with third-party services (Stores, payment providers, AI providers, hosting, and — for Gist Dey — external news sources). Those services are governed by their own terms, and we are not responsible for them. Where you obtain a Product through a Store, your use is also subject to that Store’s terms, and the Store — not Teqpace — is responsible for the Store platform. Apple and Google are third-party beneficiaries of these Terms to the extent required by their guidelines and may enforce them against you.

14. Enterprise and regulated Products

Our banking, agency-banking, payment-terminal, escrow, invoicing, payments-switching, and business-messaging Products (Teq-CBA, teqTMS, TeqPOS, Karego, teq-invoice, Isopace, qwicmail) are provided to businesses and institutions under separate written agreements (master service agreements, licence agreements, and/or data-processing agreements). Those agreements — not these consumer Terms — govern the provision of those Products, including service levels, liability, compliance obligations, and payment terms. Nothing in these Terms creates any entitlement to those Products.

15. Disclaimers

Except where prohibited by law, the Services are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that AI output will be accurate. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you, and you may have statutory rights that these Terms do not limit.

16. Limitation of liability

To the maximum extent permitted by law:

  • Teqpace and its directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or business, arising out of or relating to the Services.
  • Teqpace’s total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amount you paid to us (or to Paddle as our Merchant of Record) for the relevant Product in the twelve (12) months before the event giving rise to the claim, or (b) USD 50 (or its local-currency equivalent).

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or your statutory consumer rights.

17. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Teqpace from claims, damages, and reasonable expenses (including legal fees) arising from your misuse of the Services, your violation of these Terms or applicable law, or your infringement of any third-party right. This section does not apply to your ordinary, permitted consumer use of a Product.

18. Termination

You may stop using the Services at any time and uninstall the Products. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue a Product. On termination, the licence in §4 ends and you must stop using and remove the affected Product; sections that by their nature should survive (including §12, §15, §16, §17, and §19) survive. Purchases already delivered are not refunded on termination except as required by our refund policy or applicable law.

19. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict-of-laws rules. Subject to any mandatory rights you have under the consumer law of your own country of residence, the courts of Lagos, Nigeria have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services.

Where you purchased through Paddle as Merchant of Record, disputes concerning the transaction itself (billing, payment, tax, refund) may also be subject to Paddle’s buyer terms.

20. Changes to these Terms

We may update these Terms as our Products and the law evolve. When we make material changes we will update the “Last Updated” date and, where appropriate, provide additional notice. Changes take effect when posted (or on a later stated date). Continuing to use a Product after changes take effect means you accept the revised Terms, to the extent permitted by law; if you do not agree, stop using the affected Product.

21. General

  • Entire agreement. These Terms, together with any Product-specific terms, our Privacy Policy, and any applicable Store or Merchant-of-Record terms, are the entire agreement between you and Teqpace regarding the Services.
  • Severability. If any provision is unenforceable, the rest remains in effect.
  • No waiver. Our failure to enforce a provision is not a waiver.
  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
  • Notices. We may give notice through the Product or by email; you may contact us as below.
